Nonprofit health service plans and health maintenance organizations (HMO) conversions attorney general review and approval. A service plan corporation that intends to dissolve, merge, or consolidate, or to transfer all or a substantial portion of its assets to an entity that is not a corporation organized under chapter 317A, or that is not exempt under United States Code, title 26, section 501(c)(3), must notify the attorney general in accordance with section 317A.811 and comply with section 62D.31.
