Any provision of a contract is unlawful if it is:
1. Contrary to an express provision of law;
2. Contrary to the policy of express law, though not expressly prohibited; or
3. Otherwise contrary to good morals. A contract by which anyone is restrained from exercising a lawful profession, trade, or business of any kind is to that extent void, except in the sale of a business or in dissolution of a partnership.
