This bill amends and reenacts several sections of Louisiana’s insurance laws to provide additional requirements for the reorganization and conversion of mutual insurance companies. The key provisions include: 1. Requiring mutual insurance companies seeking to reorganize to disclose whether the reorganization is being pursued in conjunction with a proposed acquisition. 2. Authorizing the Insurance Commissioner to conduct financial and market analysis reviews of the terms, conditions, and price of a proposed acquisition, and publish the findings prior to a public hearing on the reorganization plan. 3. Prohibiting the distribution or acceptance of special ballots or proxies to qualified voters prior to the public hearing on the reorganization plan. 4. Requiring mutual insurance companies to obtain prior approval from the Department of Insurance for the content of any advertisements or communications directed to qualified voters to ensure the information is not false, deceptive, or misleading. These changes aim to provide additional transparency and oversight for the reorganization and conversion process of mutual insurance companies, particularly when the reorganization is tied to a proposed acquisition.
