This bill enacts the Uniform Antitrust Pre-Merger Notification Act in Utah, which establishes a comprehensive framework for pre-merger notifications based on the Hart-Scott-Rodino Antitrust Improvements Act. The bill requires businesses to file electronic copies of their pre-merger notification forms with the state attorney general under specific conditions, such as having their principal place of business in Utah or generating significant annual sales in the state. The legislation emphasizes strict confidentiality protections, making these documents private records and prohibiting their disclosure except under limited circumstances, such as in administrative or judicial proceedings with a protective order or when sharing information with federal antitrust agencies or other states with equivalent confidentiality laws. Businesses that fail to comply with the filing requirements may face civil penalties of up to $10,000 per day of noncompliance. The bill also includes provisions for reciprocity with other states that have similar pre-merger notification laws and aims to promote uniformity in its application across jurisdictions. The law will take effect on July 1, 2026, and will apply to pre-merger notifications filed on or after May 7, 2025.
