The legislation emphasizes strict confidentiality protections, making these documents private records and prohibiting their disclosure except under limited circumstances, such as in administrative or judicial proceedings with a protective order or when sharing information with federal antitrust agencies or other states with equivalent confidentiality laws. Businesses that fail to comply with the filing requirements may face civil penalties of up to $10,000 per day of noncompliance. The bill also includes provisions for reciprocity with other states that have similar pre-merger notification laws and aims to promote uniformity in its application across jurisdictions. The law will take effect on July 1, 2026, and will apply to pre-merger notifications filed on or after May 7, 2025.
